At this time we're not sure if it'll be a Nevada or CA or ??? LLC. We'd like to be able to set up a US LLC that's jointly owned by a California corporation and a BC corporation to accomodate joint-venture real estate ownership. Do you know of any other way to create legitimate joint-ownership of real estate (single family, small and large apartment buildings) between Canadian and US entities? We're familiar with how to set up and use these entities in their home countries. We lack experience and knowledge with the cross-border ownership, taxation and legal implications. You are looking at heavy duty accounting charges and very limited liability from any responsibilities that can't be covered by a good liability policy. If you insist on trying it, buy your share of the LLC in your own name until you start making millions. Then you might explore rolling into a Corporation or other vehicle. It is easy to deal with your share if you own it yourselves. It is an accounting and expe nsive mess to do cross-border accounting for what you propose. California LLC's have a minimum $800 tax bill per year which has surprized several of our clients who are pouring money into their LLC's, not getting a deduction and having to pay tax on a loss.
