Should a Canadian business be
My question is: Canadian-specific QUESTION: I never miss your weekly feature - keep up the excellent work. One question: you most often stress NO INCORPORATION. An associate and I have just completed a very successful Joint Venture and wish to continue with land purchase and development. We both have several Ltd.'s already and think we should incorporate a new company now as full partners for our next venture. What are your strong feelings and reasons against such. I understand the accounting and reporting discomforts but? thank you. --------------------------------------------------------------------------- david ingram replies: In general the only people who benefit from your incorporating a business are the lawyer and accountant who suggest it. If the idea is that you are going to save tax by paying dividends, I find that in retirement, people penalize themselves because now they do not qualify for Canada pension Plan. I have to tell you that today, i am looking forward to getting my Canada Pension Plan and I resent the ten or so years I did not contribute because of trying to save tax with corporations. And, it does not work that developers and most family businesses ever save money in a bankruptcy because of a corporation. The principals sign personal guarantees for hydro and all suppliers and are liable as directors for wages, Payroll deductions, WCB payments and a dozen other amounts. If or/and when the corp goes bankrupt, the principal ends up paying all the bills anyway and gets half of the tax deduction he or she would have received if a proprietorship or partnership. In our heyday, my partners Ted Bradshaw, Ray Dunlop, Ross McDonald, Robert Veillette, and Betty Scott bought and sold over 3,500 separate titles of real estate. In addition, as a principal I built some $12,000,000 worth of condos with the biggest being the six story steel and concrete condo project at 310 O'Conner in Ottawa. So, BTDT (Been there, Done that). It was simple when we did it in my name alone, just about as easy when we did it as a joint venture and nothing but trouble when we started incorporating projects. And, as an accountant now, I could increase my gross income overnight by $100,000 a year or more by getting 50 to 100 clients to incorporate and it would be easy to do. With what you are describing with a non-related business partner and a large development, a corporate entity may well be and likely is the best for you. In some cases, some corporations like VGH or BV Hydro will not deal with you as a one person business unless you are a corporation, That is a different reason for incorporating.
