QUESTION: E2 Visa

I am a Canadian and want to buy a Gas Station Business in Lake Charles,LA to
get E2 Visa. I think it is a depressed area due to recent hurricane.
The owner who is selling his Business to me is asking $110,000 for the good
will plus $65,000 for stock.
Referring to the article written by Mr. Dennis F.Olsen on Jan.1995, I Quote
“ Good Will not necessarily Part of Business” Unquote.
My question is, after reading above said article should I understand that
the amount of the “ Good Will” would not be considered towards the total
cost of the business?, if so then the visa officer will look at the amount
of $65,000 instead the total cost of business $110,000+$65,000=$175,000.

If you had the $175,000 to pay cash for the whole thing, there would be no
problem. However, if you have $100,000 cash, it would not likely be enough
to qualify for a $175,000 investment according to E2 guidelines.
On the other hand, if you have $100,000 it would be or should be more than
enough to qualify for the E2 with a purchase price of $65,000. However,
another problem is that the purchase can not be for stock in trade. It
needs to be for Assets which are not for sale - a tow truck, hoist, tools,
signs, etc.
However, Dennis was the man in charge of those visas in Vancouver back in
1993 when they changed the regulations and moved the department east.
He is now in private practice in Everett, Washington as an immigration
lawyer. His number is (425) 265-0024 and he is a good person to help you
out.
I can help you with the business plan, etc., but Dennis is a US Immigration
lawyer and I am a just a mere consultant with no official status with the
USCIS..
And a recent note I received indicates that the Vancouver office is going to
be doing a limited number of E2 visas negating the necessity of a trip to
the Big Smoke.
